1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and WealthSignal, created by H. Abbott ("Company," "we," "us," or "our") governing your access to and use of the WealthSignal platform, including our website, mobile applications, APIs, and all related services (collectively, the "Platform").
By creating an account, accessing the Platform, or using any of our services, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and all other applicable policies incorporated by reference. If you do not agree to these Terms, you must not use the Platform.
We reserve the right to modify these Terms at any time. Material changes will be communicated via email or prominent notice on the Platform at least 14 days before taking effect. Continued use of the Platform after the effective date constitutes acceptance of the revised Terms.
2. Eligibility
To use WealthSignal, you must:
- Be at least 18 years of age (or the age of majority in your jurisdiction)
- Have the legal capacity to enter into binding contracts
- Not be prohibited by applicable law, regulation, or court order from using online educational services
By using the Platform, you represent and warrant that you meet all eligibility requirements. We reserve the right to refuse service or terminate accounts that do not meet these requirements.
3. User Accounts
3.1 Account Registration
You must provide accurate, current, and complete information during registration. You are responsible for maintaining the accuracy of your account information and must promptly update it if it changes.
3.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us at support@wealthsignal.net of any unauthorized use of your account or any other security breach. We will not be liable for any loss or damage arising from your failure to safeguard your account credentials.
3.3 One Account Per User
You may only create and maintain one active account. Creating multiple accounts to circumvent restrictions, exploit promotions, or for any other improper purpose is prohibited.
3.4 Paper Trading Simulation
WealthSignal's paper trading feature uses simulated funds only — no real money is connected, deposited, or at risk. Simulated portfolio performance does not represent actual investment results. Paper trading is provided solely for educational and practice purposes. When real trading features are offered in the future, separate disclosures and agreements will apply.
4. Subscriptions & Billing
4.1 Subscription Plans
WealthSignal offers the following subscription plans:

4.2 Billing & Auto-Renewal
Subscriptions are billed in advance on a recurring basis (monthly or annually, as selected). Your subscription will automatically renew at the end of each billing period unless cancelled at least 24 hours before the renewal date. By providing payment information, you authorize us to charge your payment method for the applicable subscription fees.
4.3 Refund Policy
Monthly subscriptions are non-refundable except as required by applicable law. If you cancel a monthly subscription, you will retain access until the end of the current billing period. No partial refunds are provided for unused days.
Annual subscriptions are eligible for a pro-rated refund if cancelled within the first 30 days of the current annual billing period. After the first 30 days, no refund is available for the remainder of the annual term. Pro-rated refunds are calculated based on the number of full calendar months remaining in the annual term, using the equivalent monthly rate. To request a pro-rated refund, contact support@wealthsignal.net within the eligible window.
In exceptional circumstances (e.g., verified billing errors or technical failures preventing access for an extended period), we may, at our sole discretion, issue a credit or refund outside of these standard terms. Contact support@wealthsignal.net within 30 days of the charge.
4.4 Price Changes
We reserve the right to modify subscription prices with at least 30 days' written notice to existing subscribers. Price changes will take effect at the start of the next billing period following notice.
4.5 Taxes
You are responsible for all applicable taxes, levies, or duties imposed by taxing authorities on your subscription fees. We will collect taxes where required by law.
4.6 Educational Certificates
WealthSignal offers paid educational certificates that are separate from subscription plans. Certificates are available for purchase upon successful completion of qualifying courses and assessments (minimum passing threshold applies). The following terms govern certificate purchases:
- Non-refundable. Certificate purchases are non-refundable once the certificate has been issued. If a billing error prevented issuance, contact us within 30 days.
- Not accredited. WealthSignal certificates are educational completion credentials issued by WealthSignal. They are not accredited by any academic institution, government body, financial regulator, or industry association. They do not confer any professional license, financial designation, or regulatory qualification.
- Educational purpose only. Certificates demonstrate completion of WealthSignal's educational content. They do not certify investment skill, predict trading performance, or satisfy any regulatory licensing requirement.
- Revocation. WealthSignal reserves the right to revoke a certificate if the underlying course completion was obtained through dishonest means (e.g., circumventing assessments) or if the certificate is used in a misleading manner.
- Verification. Each certificate includes a unique verification URL. Third parties may verify certificate authenticity at the URL provided on the certificate.
5. Platform Usage
5.1 Permitted Use
WealthSignal grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for your personal, non-commercial use in connection with investment education and paper trading (simulated trading with no real money).
5.2 Prohibited Activities
You agree not to:
- Misrepresent the Platform as a real brokerage, real trading service, or investment management service — WealthSignal is an educational and paper trading platform only
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Platform
- Reproduce, distribute, or create derivative works based on the Platform's algorithms, strategies, or code
- Use automated bots, scrapers, or other tools to extract data from the Platform beyond normal use
- Interfere with or disrupt the Platform's operation or servers
- Circumvent any security measures or access controls
- Share your account credentials or allow third parties to access the Platform through your account
- Use the Platform for any fraudulent, deceptive, or misleading activity
- Attempt to gain unauthorized access to other users' accounts or data
5.3 User-Generated Content & Social Features
WealthSignal includes social features such as community posts, leaderboards, trader profiles, and copy trading. By using these features, you agree to the following:
- Content ownership. You retain ownership of content you post. By posting, you grant WealthSignal a non-exclusive, worldwide, royalty-free license to display, distribute, and promote your content within the Platform.
- No investment advice. Content posted by users — including portfolio updates, strategy discussions, performance statistics, and comments — is user-generated and does not constitute investment advice. WealthSignal does not endorse, verify, or validate any user-posted content.
- Copy trading is paper trading only. The copy trading feature replicates another user's paper trades in your own simulated portfolio. Copy trading on WealthSignal uses simulated funds only — no real money is involved. Copying another user's paper trading strategy does not guarantee similar real-world investment results.
- No compensation for followed traders. Users whose paper trading strategies are copied do not receive monetary compensation from WealthSignal for being followed.
- Prohibited content. You may not post content that is false, misleading, defamatory, harassing, illegal, or that promotes real brokerage services, real investment products, or solicits other users to invest real money.
- Moderation. WealthSignal may remove content that violates these Terms at its sole discretion, without notice or liability.
5.4 Third-Party Services
The Platform integrates with third-party services, including Alpaca Securities LLC for brokerage services when real trading features are enabled. Your use of those services is governed by their respective terms and policies. We are not responsible for the availability, accuracy, or performance of third-party services.
When brokerage features are activated, WealthSignal will share certain personal and financial information with Alpaca Securities LLC as required for account opening, KYC (Know Your Customer) verification, trading activity, and regulatory compliance. See Section 17 (Data Sharing with Brokerage Partner) and our Privacy Policy for full details.
6. Paper Trading & Simulation
6.1 Nature of Paper Trading
WealthSignal provides paper trading (simulated trading) tools for educational purposes. All trades executed on WealthSignal use simulated funds only. No real money is deposited, transferred, or at risk. Paper trading simulates market activity using real-time or historical market data, but does not constitute actual investment activity.
6.2 Educational Purpose Only
The paper trading tools, strategy simulations, market intelligence, and portfolio analytics provided by WealthSignal are designed to help users learn about investing concepts and practice strategies in a risk-free environment. They are for educational purposes only and do not constitute financial advice, investment advice, or a solicitation to buy or sell any security.
6.3 Simulated Results vs. Real Trading
Simulated trading results have inherent limitations and will differ from actual trading results. Factors that are not replicated in paper trading include: actual bid/ask spreads, order execution latency, market impact, commission costs, taxes, emotional decision-making, and real brokerage account restrictions. Strategies that perform well in paper trading may not produce similar results in live trading.
6.4 System Availability
We strive to maintain high platform availability but do not guarantee uninterrupted service. During downtime, scheduled maintenance, or technical failures, paper trading features may be temporarily unavailable. We are not liable for any decisions made based on platform unavailability.
7. Investment Risk & Trading Risk Disclosures
By using WealthSignal, you acknowledge and accept the following:
- Not investment advice. Nothing on the Platform constitutes a recommendation to buy, sell, or hold any security in a real account.
- Past performance is not indicative of future results. Historical data, backtests, and simulated results do not guarantee future real-world returns.
- Paper trading results differ from real trading. Simulated performance does not account for actual market conditions, fees, taxes, liquidity, or emotional factors that affect live trading.
- Market conditions change. Strategies that appear successful in simulation may underperform or fail in real markets.
- No real money guarantee. WealthSignal does not manage real funds and makes no representations about potential investment outcomes.
- Regulatory information. WealthSignal is not registered as an investment adviser, broker-dealer, or any other type of financial institution. Brokerage services, where available, are provided by Alpaca Securities LLC, a registered broker-dealer and FINRA/SIPC member.
7.1 Real-Money Trading Risk (When Enabled)
When real-money trading features are activated, the following additional risks apply:
- Market risk. The value of securities can decline rapidly and unpredictably due to market conditions, economic events, company developments, and other factors outside your or WealthSignal's control.
- Liquidity risk. Some securities may be difficult to sell quickly at a fair price, especially in volatile or thin markets.
- Execution risk. Orders may not be executed at the expected price due to market gaps, order routing, system delays, or other factors.
- Leverage and margin risk. Trading on margin amplifies both gains and losses. You could lose more than your initial investment.
- Technology risk. System outages, connectivity failures, or delays may prevent you from executing trades or managing your account at critical times. WealthSignal and Alpaca are not liable for losses caused by technology failures beyond their reasonable control.
- Regulatory and tax risk. Tax laws and regulations governing securities trading can change. You are solely responsible for all tax obligations arising from your trading activity. Consult a qualified tax professional.
- Concentration risk. Over-concentrating in a single security, sector, or asset class increases the potential for significant losses.
WealthSignal does not provide investment advice, tax advice, legal advice, or financial planning services. You should consult with a qualified financial advisor, accountant, or attorney before making any real investment decisions. Past educational performance does not predict real-money trading outcomes.
8. IP & Content
The Platform, including all software, algorithms, trading strategies, UI/UX design, graphics, text, data compilations, educational content, and all other materials, is the exclusive property of WealthSignal and is protected by U.S. and international copyright, patent, trademark, and trade secret laws.
You are granted no intellectual property rights in the Platform beyond the limited license described in Section 5.1. Any unauthorized use, reproduction, or distribution of WealthSignal's intellectual property is strictly prohibited and may result in civil and criminal penalties.
8.1 Educational Content Ownership
All educational content on WealthSignal — including articles, courses, tutorials, videos, strategy guides, market commentaries, and any AI-generated educational materials — is owned exclusively by WealthSignal. This content may not be reproduced, redistributed, sublicensed, sold, or incorporated into any other work without our prior written permission. Personal, non-commercial use for educational purposes is permitted.
8.2 Trademark Usage Policy
The WealthSignal name, logo, wordmark, and all related marks, trade names, and service marks ("WealthSignal Marks") are trademarks or registered trademarks of WealthSignal. You may not use any WealthSignal Mark:
- In any way that implies endorsement, affiliation, or sponsorship by WealthSignal without our express written consent
- As part of any product or service name, domain name, social media handle, or marketing material
- In a manner that is likely to cause confusion with WealthSignal's products or services
- In any way that disparages or misrepresents WealthSignal
Limited nominative use (referencing WealthSignal for purposes of factual identification) is permitted, provided it complies with applicable trademark fair-use principles. For brand asset downloads and usage guidelines, see our Brand Assets page.
8.3 DMCA — Copyright Infringement Notices
WealthSignal respects the intellectual property of others. If you believe that material available on or through the Platform infringes your copyright, you may submit a DMCA takedown notice to our designated agent:

Your DMCA notice must include: (a) identification of the copyrighted work claimed to be infringed; (b) identification of the allegedly infringing material and its location on the Platform; (c) your contact information; (d) a statement of good faith belief that the use is not authorized; (e) a statement under penalty of perjury that the information is accurate and you are authorized to act on behalf of the copyright owner; (f) your electronic or physical signature. Counter-notices may be submitted following the same process.
8.4 Prohibited Data Harvesting & Automated Access
You may not access or use the Platform by any automated means, including bots, scrapers, crawlers, spiders, scripts, or data-mining tools, without WealthSignal's prior written consent. You may not:
- Systematically extract, copy, or aggregate any data, content, strategies, or analytics from the Platform
- Mirror or frame any portion of the Platform on another website or application
- Use the Platform's data or analytics to train machine learning models or AI systems without express written permission
- Circumvent any technical measures WealthSignal uses to limit access or prevent unauthorized use
- Access non-public areas of the Platform, including administrative interfaces, APIs not designated for public access, or internal systems
Automated access in violation of these Terms constitutes a breach and may also violate the Computer Fraud and Abuse Act (18 U.S.C. § 1030), the Digital Millennium Copyright Act, and applicable state computer crime laws.
8.5 IP Enforcement & Remedies
WealthSignal actively monitors and enforces its intellectual property rights. Upon discovering any unauthorized use, WealthSignal reserves the right to:
- Immediately suspend or terminate the violating user's account without notice or refund
- Send cease-and-desist notices demanding immediate cessation of all infringing activity
- Seek preliminary and permanent injunctive relief in a court of competent jurisdiction without requirement of bond
- Pursue all available monetary damages, including statutory damages under the Copyright Act (up to $150,000 per willful infringement), lost profits, disgorgement of the infringer's profits, and attorneys' fees
- Report violations to appropriate regulatory or law enforcement authorities
You acknowledge that unauthorized use of WealthSignal's intellectual property would cause irreparable harm for which monetary damages would be an inadequate remedy, and that WealthSignal is entitled to seek equitable relief without posting a bond.

9. Limitation of Liability
9.1 Disclaimer of Warranties
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OF INFORMATION.
9.2 Limitation of Damages
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WEALTHSIGNAL, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO TRADING LOSSES, LOSS OF PROFITS, LOSS OF DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
9.3 Aggregate Cap
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WEALTHSIGNAL'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL SUBSCRIPTION FEES PAID BY YOU TO WEALTHSIGNAL IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).
9.4 Indemnification
You agree to indemnify, defend, and hold harmless WealthSignal and its officers, directors, employees, agents, and affiliates from any claims, damages, losses, liabilities, costs, and expenses (including attorneys' fees) arising from your use of the Platform, violation of these Terms, or infringement of any third-party rights.
10. Account Termination
10.1 Termination by You
You may cancel your subscription and close your account at any time through your account settings or by contacting support@wealthsignal.net. Upon cancellation, access continues until the end of the current billing period.
10.2 Termination by Us
We reserve the right to suspend or terminate your account immediately, without notice or liability, for:
- Violation of these Terms or any applicable law
- Fraudulent, illegal, or abusive activity
- Non-payment of subscription fees
- Inactivity for an extended period (with prior notice)
- Circumstances that, in our judgment, make continued service inadvisable
10.3 Effect of Termination
Upon termination: (a) your license to use the Platform immediately ends; (b) you must cease all use of the Platform; (c) all pending paper trading activity will stop and simulated portfolio data may be deleted; (d) you retain responsibility for any real investment decisions you made independently based on information obtained from the Platform. Sections 7 (Educational Disclaimers), 8 (IP), 9 (Limitation of Liability), 11 (Dispute Resolution), and this Section 10.3 survive termination.
10.4 Data Retention After Account Deletion
When you delete your account or your account is terminated, WealthSignal will retain your personal data (including your email address, account profile, simulated portfolio history, and activity logs) for a period of 30 days following the effective deletion date. After this 30-day retention window, your personal data will be permanently and irrecoverably deleted from our systems, except where retention is required by applicable law (e.g., tax records, fraud investigation holds). You may request expedited deletion within the 30-day window by contacting support@wealthsignal.net.
11. Dispute Resolution
11.1 Informal Resolution
Before initiating formal proceedings, you agree to contact us at support@wealthsignal.net and attempt to resolve the dispute informally for at least 30 days.
11.2 Binding Arbitration
If informal resolution fails, you and WealthSignal agree that any dispute, claim, or controversy arising from or relating to these Terms or the Platform shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, except as provided in Sections 11.2(a) and 11.4 below. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
11.2(a) Brokerage Disputes. Disputes arising from or relating to brokerage services provided by Alpaca Securities LLC — including but not limited to trade execution, account management, margin, and order handling — are governed by Alpaca's Customer Agreement and are subject to FINRA arbitration, not AAA arbitration. WealthSignal is not a party to brokerage disputes between you and Alpaca. You should contact Alpaca Securities LLC directly for such disputes. However, disputes about WealthSignal's technology platform, subscription fees, or these Terms (as distinct from Alpaca's brokerage services) remain subject to AAA arbitration as set forth above.
11.3 Class Action Waiver
YOU AND WEALTHSIGNAL EACH WAIVE THE RIGHT TO PARTICIPATE IN CLASS ACTIONS, CLASS-WIDE ARBITRATIONS, OR ANY OTHER REPRESENTATIVE ACTION. ALL CLAIMS MUST BE BROUGHT INDIVIDUALLY.
11.4 Exceptions
Either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm, including for intellectual property infringement or unauthorized use of the Platform.
11.5 Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law principles. For matters not subject to arbitration, you consent to exclusive jurisdiction in the federal and state courts located in Delaware.
12. General Provisions
12.1 Entire Agreement
These Terms, together with our Privacy Policy, Cookie Policy, Investment Disclaimers, and (for Business tier customers) the Data Processing Agreement, constitute the entire agreement between you and WealthSignal regarding the Platform and supersede all prior agreements.
12.2 Severability
If any provision of these Terms is found invalid or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall remain in full force and effect.
12.3 Waiver
Our failure to enforce any right or provision shall not constitute a waiver of that right or provision.
12.4 Assignment
You may not assign or transfer any rights under these Terms without our prior written consent. We may assign our rights and obligations freely.

13. GDPR & Data Protection
This section applies to users and customers located in the European Union, European Economic Area (EEA), or United Kingdom. Where applicable, WealthSignal processes personal data in accordance with the General Data Protection Regulation (GDPR) and UK GDPR. Our full data protection practices are described in the Privacy Policy.
13.1 Lawful Basis for Processing
WealthSignal processes your personal data only where a lawful basis exists under GDPR Article 6. The lawful bases we rely on include:
- Contract performance (Art. 6(1)(b)): Processing necessary to create your account, provide platform services, run paper trading simulations, and manage your subscription
- Legal obligation (Art. 6(1)(c)): Processing required by applicable law, including tax obligations and regulatory compliance
- Legitimate interests (Art. 6(1)(f)): Processing for platform security, fraud prevention, and improving our services, where our interests are not overridden by your data protection rights
- Consent (Art. 6(1)(a)): Processing for marketing communications and optional analytics cookies, where you have provided freely given, specific, and informed consent
13.2 Data Subject Rights
If you are located in the EU/EEA/UK, you have the following rights regarding your personal data under GDPR:
- Right of access (Art. 15): Request a copy of the personal data we hold about you
- Right to rectification (Art. 16): Request correction of inaccurate or incomplete personal data
- Right to erasure (Art. 17): Request deletion of your personal data ("right to be forgotten"), subject to legal retention obligations
- Right to data portability (Art. 20): Receive your personal data in a structured, commonly used, machine-readable format and transfer it to another controller
- Right to object (Art. 21): Object to processing based on legitimate interests, including direct marketing
- Right to restriction (Art. 18): Request that we restrict processing of your personal data in certain circumstances
- Right to withdraw consent: Where processing is based on consent, withdraw it at any time without affecting lawfulness of prior processing
To exercise your rights, email support@wealthsignal.net with the subject line "GDPR Request." We will respond within 30 days (extendable by 2 months for complex requests, with notice). We may verify your identity before processing requests. You also have the right to lodge a complaint with your local supervisory authority at any time.
13.3 International Data Transfers
WealthSignal's servers and infrastructure are located in the United States. If you are located in the EU/EEA/UK, your personal data is transferred to and processed in the United States. We ensure such transfers comply with GDPR through appropriate safeguards, including Standard Contractual Clauses (SCCs) approved by the European Commission. 13.4 Controller / Processor Designation
WealthSignal acts as data controller for personal data of direct individual subscribers (consumers using Pro/Elite plans). For Business tier organizational customers, WealthSignal acts as a data processor processing end user personal data on the controller's behalf. Business tier customers must enter into a Data Processing Agreement with WealthSignal, which is incorporated by reference into these Terms. See our Privacy Policy for the full controller/processor distinction.
13.5 Data Retention

14. Brokerage Services
Securities are not yet offered through Alpaca. This feature is coming soon with SEC approval. When live trading launches, brokerage services will be through Alpaca Securities LLC, member FINRA/SIPC. WealthSignal is the technology platform and is not a registered broker-dealer.
14.1 Role of Alpaca Securities LLC
When you activate real-money trading features on WealthSignal, your brokerage account is opened with and maintained by Alpaca Securities LLC ("Alpaca"), a registered broker-dealer and member of the Financial Industry Regulatory Authority (FINRA) and the Securities Investor Protection Corporation (SIPC). Alpaca's services are provided subject to Alpaca's Customer Agreement, which you must accept separately before enabling real-money trading.
14.2 Role of WealthSignal
WealthSignal provides technology services — including the user interface, educational tools, paper trading simulations, market data display, and portfolio analytics — that connect to Alpaca's brokerage infrastructure. WealthSignal does not:
- Hold, custody, or manage your investment funds or securities
- Execute, route, or clear securities trades (these functions are performed by Alpaca)
- Provide investment advice or manage your portfolio
- Act as an investment adviser, broker-dealer, or custodian
14.3 Regulatory Status
WealthSignal is a technology platform. Alpaca Securities LLC is the regulated entity providing brokerage services. For regulatory questions, complaints, or arbitration related to brokerage activity, contact Alpaca directly or visit finra.org.
14.4 Availability
Brokerage features are currently in development and will be made available in phases. Access to real-money trading features is subject to eligibility review, completion of KYC/AML verification, and acceptance of Alpaca's Customer Agreement. WealthSignal reserves the right to restrict, suspend, or terminate access to brokerage features at its discretion.
15. Fee Disclosure
15.1 WealthSignal Subscription Fees
WealthSignal charges subscription fees for access to the Platform's educational tools, paper trading features, and analytics (see Section 4 — Subscriptions & Billing). Subscription fees are charged by WealthSignal and are separate from any brokerage fees charged by Alpaca.
15.2 Trade Fees
When real-money trading is enabled, certain trading activities may be subject to fees. WealthSignal's current fee model includes:
- Platform subscription fee: As described in Section 4.1
- Per-trade technology fee: A technology access fee may apply per executed trade. Current rates are listed on the Pricing page and are incorporated by reference into these Terms
- Regulatory fees: SEC Section 31 fees and FINRA TAF fees are passed through at cost as required by regulation
15.3 Alpaca Fees
Alpaca Securities LLC may charge additional fees for brokerage services, including but not limited to margin interest, account maintenance fees, wire transfer fees, and fees for specific order types. A complete schedule of Alpaca's fees is available in Alpaca's Customer Agreement and fee schedule, which you will be presented with at account opening.
15.4 Fee Changes
WealthSignal will provide at least 30 days' notice of changes to platform fees. Regulatory pass-through fees (SEC, FINRA) may change without advance notice as they are set by regulators. We will update the Pricing page promptly when regulatory fees change.
16. Data Sharing with Brokerage Partner
When you activate brokerage features, WealthSignal shares certain personal and financial information with Alpaca Securities LLC as required to open and maintain your brokerage account and comply with applicable law. This data sharing is necessary to provide the brokerage service and cannot be opted out of while you use brokerage features.
16.1 Data Shared with Alpaca
The following categories of information may be shared with Alpaca Securities LLC:
- Identity & KYC data: Full legal name, date of birth, Social Security Number (SSN) or Tax ID, government-issued ID information, nationality, country of residence
- Contact information: Email address, phone number, physical address
- Financial profile: Employment status, income range, net worth, investment objectives, and risk tolerance (as collected during account opening)
- Trading activity: Order history, executed trades, positions, account balances, and transaction records for your brokerage account
- Bank account information: Bank account and routing numbers used for funding your brokerage account via ACH transfers
- Compliance data: Information required for AML/KYC screening, OFAC compliance, and FINRA regulatory obligations
16.2 Purpose of Data Sharing
Data is shared with Alpaca solely for purposes of: (a) opening and maintaining your brokerage account; (b) executing and settling your trades; (c) fulfilling regulatory obligations (KYC, AML, OFAC, tax reporting); (d) funding and withdrawing from your brokerage account; and (e) complying with FINRA, SEC, and other applicable regulatory requirements.
16.3 Alpaca's Privacy Practices
Data shared with Alpaca is subject to Alpaca's own Privacy Policy, available at alpaca.markets/legal. WealthSignal is not responsible for Alpaca's privacy practices, data handling, or security measures once data has been transmitted to Alpaca. You should review Alpaca's Privacy Policy before enabling brokerage features.
16.4 No Sale of Brokerage Data
WealthSignal does not sell, rent, or trade your brokerage-related personal data (including SSN, bank information, or trading history) to any third party for marketing purposes.
17. Account Ownership
17.1 Brokerage Account Held by Alpaca
When you open a brokerage account through WealthSignal, your brokerage account — including all funds, securities, and assets — is held at and custodied by Alpaca Securities LLC, not WealthSignal. WealthSignal does not hold, own, or have custody of your funds or securities at any time.
17.2 Your Direct Relationship with Alpaca
By opening a brokerage account, you establish a direct legal and contractual relationship with Alpaca Securities LLC. Your rights and obligations with respect to your brokerage account — including account statements, trade confirmations, funds transfers, margin arrangements, and dispute resolution — are governed by Alpaca's Customer Agreement, not these Terms.
17.3 Access to Your Account
Your access to your brokerage account is provided through WealthSignal's technology interface. If your WealthSignal account is suspended or terminated, you may lose access to the WealthSignal interface, but your brokerage account at Alpaca remains intact. You may access your Alpaca brokerage account directly through Alpaca's platforms at any time. WealthSignal is not responsible for any inability to access your Alpaca account through the WealthSignal interface during a suspension or technical outage.
17.4 WealthSignal Platform vs. Brokerage Account
Your WealthSignal platform account (subscription, educational content, paper trading) is separate and distinct from your Alpaca brokerage account. Cancelling your WealthSignal subscription does not automatically close your Alpaca brokerage account; you must close the Alpaca account separately per Alpaca's account closure procedures.
18. SIPC Protection
18.1 SIPC Membership
Alpaca Securities LLC is a member of the Securities Investor Protection Corporation (SIPC). As a SIPC member, Alpaca is required to maintain a reserve fund to protect customer assets in the event of the firm's financial failure. SIPC membership is verified at sipc.org.
18.2 Scope of SIPC Coverage
SIPC protection covers customers of registered broker-dealers (like Alpaca) if the firm becomes insolvent. Subject to SIPC rules and limitations:
- SIPC protects securities and cash held in your brokerage account up to $500,000 per customer, including up to $250,000 for cash
- SIPC coverage applies per "separate capacity" (e.g., individual account, joint account, and IRA are each covered separately up to the applicable limits)
- SIPC covers the custody of your assets — it works to return your securities and cash if a broker-dealer fails
18.3 What SIPC Does NOT Cover
SIPC protection does not cover:
- Losses resulting from a decline in the market value of your investments
- Losses from bad investment decisions, fraud by a third party, or investment scams
- Commodity futures contracts, currency, fixed annuity contracts, hedge fund interests, or investment contracts (limited partnerships) that are not registered with the SEC
- Accounts at non-SIPC member firms

18.4 No WealthSignal Guarantee
WealthSignal does not guarantee, insure, or provide any additional protection for assets held in your Alpaca brokerage account. All investment risk is borne solely by you. WealthSignal's liability is limited as described in Section 9.
19. Referral Program
19.1 Program Overview
WealthSignal may operate a referral program that allows existing users ("Referrers") to share unique referral codes or links with prospective new users ("Referred Users"). Both parties may receive rewards when the Referred User successfully completes registration and, where applicable, activates a paid subscription.
19.2 Eligibility
To participate in the referral program, you must:
- Have an active, good-standing WealthSignal account
- Share your referral code only in a manner consistent with these Terms and applicable law
- Not use automated tools, bots, or fraudulent means to generate referrals
- Not create fake accounts or self-refer using multiple accounts or identities
19.3 Rewards
Referral rewards (which may include account credits, subscription discounts, or other incentives) are issued at WealthSignal's sole discretion. Reward amounts and eligibility criteria are described on the Referral Program page and may change at any time with or without notice. Rewards have no cash value and cannot be exchanged for cash unless explicitly stated.
19.4 Disqualification
WealthSignal reserves the right to disqualify referral rewards and terminate referral program access if, in its sole determination, any fraudulent, abusive, or improper activity has occurred — including but not limited to self-referrals, bulk spam distribution of referral codes, or violation of these Terms. Any previously issued rewards may be reversed or forfeited.
19.5 Modifications and Termination
WealthSignal may modify, suspend, or discontinue the referral program at any time without liability. Pending referral rewards that have not yet been credited will be honored for referrals that already met all eligibility criteria before the program was modified or terminated.
19.6 Disclosure Requirement
If you promote WealthSignal through a referral link in a public context (social media, content, website, or other media), you must clearly disclose that you may receive a reward for successful referrals, in compliance with FTC guidelines and applicable law. See Section 20 (Affiliate Disclosure) for full disclosure requirements.
20. Affiliate Program & Disclosure
20.1 Affiliate Relationships
WealthSignal may operate an affiliate program under which independent third parties ("Affiliates") promote WealthSignal's services in exchange for compensation (which may include commissions, flat fees, subscription credits, or other incentives) when new customers sign up through an Affiliate's unique tracking link.
20.2 Required FTC Disclosure
Affiliates are required by law (FTC 16 C.F.R. Part 255) to clearly and conspicuously disclose any material connection to WealthSignal — including the receipt of commissions or other compensation — whenever they promote WealthSignal's services. This disclosure must appear prominently near any promotional content, not buried in footnotes or general disclaimers. Example acceptable disclosures:
- "I earn a commission if you sign up for WealthSignal using my link."
- "Sponsored by WealthSignal."
- "Affiliate link — I may receive compensation for referrals."
Failure to disclose affiliate relationships is a violation of these Terms and applicable law. WealthSignal reserves the right to terminate any Affiliate's program participation and withhold pending commissions for non-disclosure.
20.3 Honest Promotion
Affiliates may only make truthful, accurate statements about WealthSignal's services based on their genuine experience and publicly available information. Affiliates may not:
- Make false or misleading claims about WealthSignal's features, pricing, or results
- Guarantee investment returns or imply that WealthSignal's paper trading performance predicts real-world trading profits
- Claim WealthSignal is a registered broker-dealer, investment adviser, or regulated financial service (beyond what is stated in these Terms and on the Platform)
- Use paid advertising that misrepresents the nature of WealthSignal as anything other than an educational platform
20.4 Commission Structure
Affiliate commission rates, payment terms, tracking methods, and other program details are governed by the separate Affiliate Agreement entered into between WealthSignal and each Affiliate. The Affiliate Agreement is incorporated by reference into these Terms for Affiliates. In the event of conflict between the Affiliate Agreement and these Terms, these Terms control unless the Affiliate Agreement expressly states otherwise.
20.5 No Endorsement
Affiliate promotion of WealthSignal does not constitute endorsement of any specific investment strategy, investment advice, or financial recommendation by WealthSignal. Affiliates may not imply that WealthSignal endorses any particular investment philosophy, asset class, or trading approach in their promotional content.
20.6 Program Changes and Termination
WealthSignal reserves the right to modify commission structures, program terms, and eligibility requirements, or to terminate the affiliate program entirely, with reasonable notice to active Affiliates. Earned and unpaid commissions for completed, valid referrals will be honored per the applicable Affiliate Agreement terms.
